1. Introduction

Welcome to CodeShare ("we," "our," or "us"). These Terms of Service ("Terms") governed the use of codeshare.com and all related services and tools (collectively, the "Service") operated by CodeShare Inc.

By using our Service, you agreed to these Terms. If you did not agree with any part of these Terms, you were advised not to use our Service.

2. Account Registration

To access certain features of the Service, you were required to register for an account. You agreed to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You were responsible for safeguarding the password that you used to access the Service and for any activities or actions under your password. You agreed not to disclose your password to any third party.

3. User Content

Our Service allowed you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). You retained any and all of your rights to any User Content you submitted, posted or displayed on or through the Service.

By posting User Content to the Service, you granted us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such User Content on and through the Service.

The Service and its original content (excluding User Content), features, and functionality were and remain the exclusive property of CodeShare Inc. and its licensors. The Service was protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress could not be used in connection with any product or service without the prior written consent of CodeShare Inc.

5. Prohibited Uses

You agreed not to use the Service:

  • In any way that violated any applicable national, federal, state, local, or international law or regulation
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
  • To impersonate or attempt to impersonate CodeShare, a CodeShare employee, another user, or any other person or entity
  • To engage in any other conduct that restricted or inhibited anyone's use or enjoyment of the Service, or which, as determined by us, could harm CodeShare or users of the Service or expose them to liability

6. Termination

We could terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breached the Terms.

Upon termination, your right to use the Service would immediately cease. If you wished to terminate your account, you could simply discontinue using the Service.

7. Limitation of Liability

In no event would CodeShare, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

8. Changes to Terms

We reserved the right, at our sole discretion, to modify or replace these Terms at any time. If a revision was material we would have provided at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions became effective, you agreed to be bound by the revised terms.

9. Governing Law

These Terms were governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms would not be considered a waiver of those rights.
